By accessing or using the website https://withdirectexpress.com/ (the “Site”) and/or engaging the services of Direct Express Realty (“we”, “us”, “our” or “Direct Express”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to all of these Terms, you must not use the Site or our services.

1. About Us

Direct Express Realty is a full-service real estate brokerage, mortgage and property management firm operating in Tampa Bay and surrounding areas. We provide services including:

  • Buying homes,

  • Selling homes,

  • Investment portfolio services,

  • Mortgage brokerage and financing support,

  • Property management of residential and commercial rental properties.
    By using our services or the Site, you represent that you are at least 18 years old and legally capable of entering into contracts.

2. Use of the Site

2.1 Access & Eligibility

You may access and use the Site for your personal, non-commercial use, provided that you comply with these Terms.

2.2 Restrictions

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms;

  • Attempt to gain unauthorized access to the Site or any part thereof;

  • Upload or transmit viruses, malware, or harmful code;

  • Use the Site in connection with any commercial solicitation (unless approved by us in writing);

  • Interfere with the security or operation of the Site.

2.3 Intellectual Property

All content on the Site (text, graphics, logos, images, audio clips, data compilations, software) is the property of Direct Express or its licensors and is protected by applicable copyright, trademark and other laws. You may not reproduce, modify, distribute, display or use content from the Site for public or commercial purposes without our prior written consent.

3. Services & Engagement Terms

3.1 Scope of Services

When you engage Direct Express to provide real estate, mortgage or property-management services, the specific terms (scope, fees, deliverables, timeline) will be set forth in a separate service agreement, listing agreement, property management agreement, or loan brokerage agreement (depending on service type). These Terms do not replace or modify those separate agreements unless explicitly stated.

3.2 No Guarantee of Results

While we strive to deliver high-quality services, we do not guarantee specific outcomes (such as sale price, rental rate, return on investment, property value appreciation, loan approval, etc.). Any projections, forecasts or statements regarding future performance are estimates only and not promises.

3.3 Client Cooperation

You agree to provide us with accurate, timely, complete information and to cooperate in a reasonable manner. If you fail to do so, we shall not be responsible for delays, errors or failure to perform.

4. Fees, Payment & Refunds

The fee structure for our different services will be specified in your individual agreement. Unless otherwise agreed:

  • Fees become due and payable as set forth in the agreement.

  • You are responsible for any third-party costs (e.g., inspections, advertising, closing costs) unless otherwise agreed.

  • Refunds (if any) will be governed by the applicable service agreement.
    If you fail to pay fees when due, we may suspend or terminate services.

5. Disclaimer & Limitations of Liability

5.1 General Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, AND ALL SERVICES PROVIDED BY DIRECT EXPRESS (INCLUDING INFORMATION, MATERIALS, AND ADVICE) ARE PROVIDED “AS-IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED).

5.2 Limitation of Liability

In no event shall Direct Express, its affiliates, officers, directors, agents or employees be liable for any indirect, incidental, special, consequential or punitive damages arising from or related to your use of the Site or our services. Our aggregate liability to you in connection with any claim related to these Terms or our services shall not exceed the fees you have paid to us in the prior 12 months (if any).

5.3 Jurisdiction-Specific Disclaimers

Some jurisdictions do not permit the exclusion or limitation of certain implied warranties or liabilities, so some of the above limitations may not apply to you.

6. Third-Party Links & External Services

The Site may contain links to third-party websites or resources solely for your convenience. We do not control those websites and are not responsible for their content or your interactions with them. If you use any third-party service, you do so at your own risk.

7. Privacy & Data

Using the Site means you consent to our collection, use, disclosure and processing of your personal data as described in our Privacy Policy [link]. You also agree that we may retain electronic communications (emails, texts, chats) and phone call logs as permitted by applicable law.

8. Termination & Suspension

We may suspend or terminate (in whole or in part) your access to the Site or our services at any time, with or without notice, for any reason (including breach of these Terms). On termination, all provisions of these Terms which by their nature should survive termination will survive (including Ownership, Disclaimer & Limitations, Indemnification, Governing Law).

9. Indemnification

You agree to indemnify, defend and hold harmless Direct Express, its affiliates, officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Site or our services;

  • your violation of these Terms;

  • your breach of any service agreement with us;

  • your violation of applicable law.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws rules. You agree that any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the courts located in Pinellas County, Florida (or another county in Florida if we designate).
If any provision of these Terms is held invalid or unenforceable, the remainder of the Terms will remain in full force and effect.

11. Modifications to Terms

We may revise these Terms at any time. The “Effective Date” at the top will reflect the date of last revision. Your continued access to or use of the Site after changes are posted constitutes your acceptance of the new Terms.

12. Miscellaneous

  • Entire Agreement: These Terms and any other agreement between you and Direct Express regarding the Site or services represent the entire understanding, and supersede all prior communications.

  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms or our rights at any time.

  • Waiver: No failure or delay by Direct Express in exercising any right shall operate as a waiver of that right.

  • Severability: If any portion of these Terms is found to be invalid or unenforceable, the remaining portions will remain valid.
